National Foods Limited has proposed giving shareholders five ordinary shares for every one share they currently hold by changing the face value of each share from Rs. 5 to Rs. 1.

The company’s Board of Directors approved the proposal on September 18, 2026, subject to regulatory and shareholder approval.

Under the proposal, the company’s 233,115,425 existing shares will be converted into 1,165,577,125 shares.

A shareholder holding one existing Rs. 5 share will receive five Rs. 1 shares after the change takes effect. The company will announce the effective date later.

The proposed change will not affect National Foods’ paid-up or subscribed share capital. The company will amend its Memorandum and Articles of Association to reflect the new share structure.

Shareholders will vote on the proposal at National Foods’ 55th Annual General Meeting on October 26, 2026, at Beach Luxury Hotel in Karachi.
