Telenor Pakistan and Ufone have merged into a single entity, PTML, in a major development for Pakistan’s telecom sector, while Pakistan Telecommunication Company Limited (PTCL) will now operate separately under an arrangement mandated by the Competition Commission of Pakistan (CCP).
The merger has been completed under the framework approved by the CCP, with the combined mobile business now operating through the merged company. As part of the conditions attached to the transaction, PTCL has been separated from the mobile operations and will no longer be part of the MergeCo.
This means Telenor Pakistan and Ufone will now operate together as a combined mobile entity, bringing their network assets, customer base and operations under one structure, while PTCL will function independently as a separate company.
The boards and chief executives of PTML and PTCL will also remain separate under the new structure.
According to ProPakistani, the separation of PTCL from the merged mobile business was a direct outcome of the CCP’s order, which required PTCL to operate as a distinct entity rather than remain part of the merged company.
The report stated that Ufone has now shifted to the company’s 345 headquarters as part of the post-merger integration process.
In a separate development, PTCL has appointed Mohammad Nadeem Khan as its chief executive for a temporary period of 14 days.
In a notice submitted to the Pakistan Stock Exchange on Thursday, the company said Khan had been appointed chief executive with effect from July 2, 2026, replacing Hatem Mohamed Bamatraf. The filing said the appointment would remain effective for a period of 14 days.
The development comes alongside changes to PTCL’s Board of Directors following a change in management. On Wednesday, the company informed the exchange that Khaled Hegazy and Marwan Bin Shakar had resigned from the board with effect from July 1, 2026.
In their place, Mohamed Dukandar and Sabri Ali Yehya joined the board as directors, also effective from July 1, 2026.
Following these changes, PTCL’s reconstituted board now consists of nine members. Zarrar Hasham Khan will serve as chairman, while the other directors are Khalifa Al Shamsi, Anad Khan Cheema, Imdad Ullah Bosal, Jawad Paul Khawaja, Lamia Lemkecher, Nazih El Hassanieh, Mohamed Dukandar and Sabri Ali Yehya.
The restructuring leaves the merged Telenor Pakistan-Ufone business to operate as the group’s mobile arm, while PTCL will continue to work separately in line with the CCP’s directions.
